The Record Stock – Music License Agreement

Effective Date: March 2026

1. Introduction

This Music License Agreement ("Agreement") is a legal contract between The Record Stock ("we", "us", "our", "Licensor") and you, the purchaser or user of our music ("you", "your", "Licensee"). By purchasing, downloading, accessing, or using any music track ("Track") from The Record Stock, you agree to the terms in this Agreement.

If you are a consumer under UK law, your statutory rights are not affected.

2. Grant of License

Upon purchase, we grant you a non-exclusive, non-transferable, worldwide, perpetual license to use the Track in video-based and audiovisual projects, including:

YouTube videos and monetised content

Vlogs, social media posts, and advertisements

Films, trailers, and documentaries

Podcasts when paired with spoken content

Client work, commercial content, and presentations

Live events, theatre, and broadcast

This license is a sync license only. You may combine the Track with visual or spoken content, but you do not own the Track itself.

3. Restrictions

You must NOT:

Re-sell, re-license, or redistribute the Track in its original or modified form.

Register the Track with any rights management organisation (e.g., PRS, BMI) or claim ownership.

Upload the Track as standalone audio to streaming platforms or music libraries.

Create new musical works from the Track (e.g., adding vocals, instruments, or remixing).

Exception: You may chop the tracks in your edit to create arrangements to fit your projects. You may also add standard video-related processing techniques in aid of your edit e.g. filter sweeps or delays.

Upload music-only or looped-audio videos.

Use the Track in AI training, datasets, or machine learning models without written permission.

Use the Track for harmful, defamatory, illegal, hateful, or discriminatory content.

Share the Track with third parties for use in unrelated projects.

Exception: You may share the Track with collaborators solely for use in a joint project where you are a primary creative contributor.

4. Ownership

All Tracks remain the exclusive intellectual property of The Record Stock. You are purchasing the right to use the Track as described in this Agreement, not ownership of the music.

5. Attribution

Attribution is not required but is always appreciated. If you choose to include credit, please use:

6. Consumer Digital Goods Notice

If you are purchasing as a consumer, you acknowledge that:

By downloading the Track, you expressly consent to immediate access to the digital content.

You lose your 14-day right to cancel once downloading begins, in accordance with UK consumer legislation.

If you have not downloaded the Track, you may request a refund within 14 days.

7. Warranties and Disclaimers

The Track is provided "as is" without warranties of any kind, whether express or implied. We do not guarantee:

that the Track will meet your requirements or expectations;

uninterrupted or error-free availability;

that the Track will not trigger automated claims, content matches, or fingerprinting on third-party platforms;

suitability for a particular commercial purpose.

Where permissible under law, we disclaim all implied warranties, including fitness for purpose and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by UK law:

Our total liability for any claim related to the use of a Track is limited to the amount you paid for that Track.

We are not liable for indirect, special, incidental, punitive, or consequential damages, including but not limited to loss of revenue, business interruption, reputational harm, or platform takedowns.

We are not liable for third-party copyright or Content ID claims arising from your use of the Track.

Nothing in this Agreement excludes liability for death or personal injury caused by negligence, fraud, or any matter that cannot legally be limited.

9. Indemnity

You agree to indemnify and hold harmless The Record Stock from any claims, losses, damages, liabilities, or expenses arising from:

misuse of the Track;

breach of this Agreement;

use of the Track in prohibited, illegal, or harmful contexts.

10. Termination

We may terminate this Agreement if you breach any material clause. Upon termination:

Your license is immediately revoked.

You must remove the Track from all current and future uses, including videos, broadcasts, and online content.

Termination does not entitle you to a refund.

11. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales. Any disputes shall be handled exclusively by the UK courts.
